1. Introduction

2. Definitions
Company: Refers to Youable, the certification service provider.
Client: Any individual or entity that engages the services of the Company.
Services: Activities related to the assessment, auditing, and certification of management systems according to international standards.
3. Scope of Services
3.1 The Company offers certification services for various international standards, including but not limited to ISO, CE, and FDA certifications.
3.2 Services encompass pre-audit assessments, certification audits, surveillance audits, and recertification audits.
4. Client Obligations
4.1 The Client must provide all necessary documentation, access to facilities, personnel, and information required for the audit process.
4.2 The Client is responsible for maintaining compliance with the relevant standards and promptly informing the Company of any significant changes that may affect certification status.
5. Fees and Payment Terms
5.1 Fees for services will be outlined in the service agreement and are subject to change with prior notice.
5.2 Payments are due as specified in the invoice. Late payments may incur interest charges as detailed in the service agreement.
6. Confidentiality
6.1 Both parties agree to maintain the confidentiality of all information obtained during the certification process, except as required by law or accreditation bodies.
7. Certification Process
7.1 Initial Certification: Involves a two-stage audit process—Stage 1 (documentation review) and Stage 2 (on-site assessment).
7.2 Surveillance Audits: Conducted periodically to ensure ongoing compliance.
7.3 Recertification Audits: Performed as per the certification cycle to renew the certification.
7.4 Certification decisions are made impartially, ensuring that auditors involved in the assessment are not part of the decision-making process.
8. Suspension, Withdrawal, and Cancellation
8.1 The Company reserves the right to suspend or withdraw certification if the Client fails to comply with the required standards or these Terms and Conditions.
8.2 In cases of suspension or withdrawal, fees for services rendered up to that point are non-refundable.
9. Liability and Indemnity
9.1 The Company's liability for any claim arising from the provision of services is limited to the amount paid by the Client for those services.
9.2 The Client agrees to indemnify the Company against any claims or losses resulting from the Client's use of the certification.
10. Complaints and Appeals
10.1 Clients have the right to lodge complaints or appeals regarding the certification process or decisions.
10.2 The Company will address such complaints and appeals in accordance with its established procedures, ensuring fairness and transparency.
11. Force Majeure
11.1 Neither party will be liable for any failure or delay in performing their obligations where such failure or delay is due to causes beyond their reasonable control, including but not limited to natural disasters, war, or governmental actions.
12. Governing Law and Jurisdiction
12.1 These Terms and Conditions are governed by and construed in accordance with the laws of Bangladesh.
12.2 Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of Bangladesh.
13. Amendments
13.1 The Company reserves the right to amend these Terms and Conditions with prior notice to the Client. Continued use of services after such amendments constitutes acceptance of the new terms.
14. Entire Agreement
14.1 These Terms and Conditions, along with any service agreements, constitute the entire agreement between the parties and supersede any prior understandings or agreements.
